Financial Planning for Databricks Employees
If you work at Databricks, your equity may be the largest part of your net worth, and you can't sell it whenever you like. Between RSUs, possibly stock options, and tender offers that open and close, the tax and timing rules are easy to get wrong. As retirement gets closer, the question changes from what your equity is worth on paper to how much of it you can turn into reliable income.
The timing decisions are the ones that stick. Whether to sell in a tender offer, when your RSUs become taxable, and whether to exercise options before a listing all affect your tax bill for years. Because Databricks shares aren't publicly traded, you often can't sell shares to cover the tax on an equity event, which is why the cash has to be planned in advance.
Databricks has run employee tender offers, and its leadership has said it plans to go public eventually without committing to a date. That leaves many employees holding a large, concentrated position with no fixed date to sell. A plan that works whether the next liquidity event is a tender offer or an IPO keeps one headline from driving a large tax decision.
At TrueWealth Financial Partners, we work with tech employees in Bellevue, Seattle, and beyond who hold concentrated equity at companies like Databricks. As fee-only fiduciaries, we share guidance based on your goals, not on commissions. We coordinate your equity, tender decisions, retirement accounts, taxes, and income strategy into one plan so you can retire when and how you choose.
Financial Planning for Databricks Employees FAQs
Databricks equity comes with timing rules that don't exist at a public company. Here are the questions we hear most often from Databricks employees planning their next chapter.
-
It depends on the type. Exercising non-qualified options creates ordinary income on the spread, while exercising incentive stock options can trigger the alternative minimum tax. You also pay the strike price and any tax out of pocket, with no guarantee of when you can sell. We model exercising now against waiting, based on your cash, tax bracket, and timeline.
-
Unvested RSUs are forfeited when you leave. For vested RSUs still waiting on a liquidity event, some plans let you keep them and others require you to be employed when it happens, so your grant agreement matters. Stock options usually carry a short exercise window after you leave, often 90 days, after which ISOs can convert to NSOs. Timing your last day around vesting and option deadlines can be worth a lot.
-
There is no universal number, but many planners get concerned once one stock exceeds 10% to 15% of your portfolio. Near retirement, the risk is sharper because you have less time to recover from a drop. We build a staged diversification plan around your cost basis, tax bracket, and cash needs, using tools like exchange funds, donor-advised funds, and charitable remainder trusts where they fit.
-
Readiness comes down to whether assets you can actually spend will fund your lifestyle for 30 years or more. Equity you can't yet sell doesn't count the same as cash. We model what you could realistically sell through tender offers or after an IPO, along with your 401(k), Social Security timing, and healthcare costs, and give you a retirement date you can check against real numbers.
-
Review your plan’s match, if any, and vesting terms in your plan documents, then decide how much to save pre-tax and how much to Roth. Under current IRS rules, higher earners must make catch-up contributions on a Roth basis, and those aged 60 to 63 qualify for a higher super catch-up limit. If your plan allows after-tax contributions and in-plan Roth conversions, a mega backdoor Roth can move more into tax-free savings, up to the IRS total limit for the year.
-
Databricks grants restricted stock units (RSUs), and many employees also hold stock options, either incentive stock options (ISOs) or non-qualified stock options (NSOs), depending on hire date and role. RSUs typically vest over four years with a one-year cliff. Each type is taxed differently, so start by listing every grant with its dates, strike price, and vesting status.
-
Historically, Databricks RSUs have required two things before they settle: time-based vesting and a liquidity event, such as an IPO or an approved tender offer. Company terms can change, so confirm in your grant agreement whether the liquidity-event condition still applies to your units. The answer decides which year your income is taxed, so settle it before you plan around it.
-
A tender offer is a limited window in which Databricks lets current and former employees sell part of their shares at a set price before any IPO. The company has run them before. Only a portion of your shares is eligible, capped at a percentage the company sets, so a tender is a partial exit rather than a full one. Our guide to how tenders compare with an IPO goes deeper.
-
It depends on how concentrated you are, what you'd owe in tax, and what you need to live on. Selling some shares can fund retirement spending and reduce risk, but the gain is taxable, and tax on settled RSUs may already be due. We compare selling now with waiting for a later tender or an IPO, after tax, including Washington's capital gains excise tax if it applies to you.
-
It can. If your RSUs still carry the liquidity-event condition, those that have met the time requirement can settle at the IPO and be taxed as ordinary income that year, even while a lockup of 90 to 180 days keeps you from selling. Withholding is often lower than your actual rate. We plan for the cash needed before the event so you aren't forced to sell at a bad time.
